However you copied it to the Xp machine might have corrupted it.  Try
copying the installer again and/or try the download again.

Also it might be a good idea to run the Microsoft Updates quite often
in the lead-up to April cut-off.  I think i'm going to update half my
machines each fortnight.

Did you try uninstalling the old version?
